1. Agreement to Terms
By accessing or using Citaspace ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all visitors, users, service providers, and others who access or use the Service.
2. Definitions
- "Service Provider" or "Provider": Businesses or professionals who use Citaspace to manage appointments
- "Client" or "Customer": End users who book appointments with Service Providers
- "Account": Your registered account on the Platform
- "Booking": An appointment scheduled through the Platform
- "Content": Text, images, data, and other materials you submit
3. Eligibility
You must:
- Be at least 18 years old
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Service under applicable laws
- Provide accurate and complete registration information
- Maintain the security of your account credentials
4. Account Registration and Security
4.1 Account Creation
You must create an account to use certain features. You're responsible for maintaining the confidentiality of your password and for all activities under your account.
4.2 Account Security
- Choose a strong, unique password
- Never share your login credentials
- Notify us immediately of any unauthorized access
- You're liable for actions taken through your account
4.3 Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.
5. Service Provider Obligations
5.1 Professional Conduct
Service Providers must:
- Provide accurate service descriptions and pricing
- Honor confirmed bookings or provide reasonable notice of cancellations
- Maintain professional standards and qualifications
- Comply with applicable laws and regulations in their industry
- Not discriminate against clients based on protected characteristics
5.2 Content Responsibility
Providers are solely responsible for the accuracy, legality, and quality of their service descriptions, images, pricing, and availability.
5.3 Client Data
Providers must handle client data in accordance with our Privacy Policy and applicable data protection laws. Do not use client data for unauthorized purposes.
6. Client Obligations
Clients must:
- Provide accurate contact information when booking
- Honor confirmed bookings or cancel according to provider policies
- Pay for services as agreed
- Respect cancellation and rescheduling policies
- Treat service providers with respect and professionalism
7. Subscriptions and Payments
7.1 Subscription Plans
We offer multiple subscription tiers:
- Starter: Free forever with basic features and booking limits
- Professional: Paid monthly/annual subscription with unlimited bookings
- Enterprise: Custom pricing for large organizations
7.2 Billing
- Subscriptions are billed in advance on a recurring basis
- Payment is processed through Stripe or PayPal
- You authorize automatic billing to your payment method
- Prices are subject to change with 30 days notice
- Taxes may apply based on your location
7.3 Free Trial
Professional and Enterprise plans include a 14-day free trial. No credit card required to start. If you don't cancel before the trial ends, you'll be charged the regular subscription fee.
7.4 Refund Policy
We offer a 30-day money-back guarantee on all paid plans. If you're not satisfied within the first 30 days, contact us for a full refund. After 30 days, subscription fees are non-refundable, but you can cancel anytime to prevent future charges.
7.5 Cancellation
Cancel your subscription anytime through your account settings. Cancellation takes effect at the end of your current billing period. You'll retain access until then. No refunds for partial months.
7.6 Payment Processing Fees
When clients pay through the Platform, standard payment processing fees apply (typically 2.9% + $0.30 per transaction). You keep 100% of your revenue minus these fees, which go to the payment processor.
7.7 Late or Failed Payments
If payment fails, we'll attempt to collect payment for up to 7 days. Your account may be suspended until payment is successful. Continued failure may result in account termination.
8. Prohibited Activities
You may NOT:
- Violate any laws or regulations
- Infringe intellectual property rights
- Upload viruses, malware, or harmful code
- Engage in fraud, impersonation, or deceptive practices
- Scrape, harvest, or collect user data without permission
- Reverse engineer or attempt to access source code
- Interfere with or disrupt the Service
- Create multiple accounts to abuse free trials
- Resell or redistribute the Service without authorization
- Use the Service for illegal activities (e.g., money laundering, adult services)
- Spam, harass, or abuse other users
- Post offensive, discriminatory, or harmful content
9. Intellectual Property
9.1 Our IP
The Platform, including design, code, logos, and content, is owned by Citaspace and protected by copyright, trademark, and other laws. You may not copy, modify, or create derivative works without permission.
9.2 Your Content
You retain ownership of content you upload (photos, descriptions, etc.). By uploading, you grant us a worldwide, royalty-free license to use, display, and distribute your content solely to provide the Service.
9.3 DMCA
If you believe content infringes your copyright, contact us at [email protected] with: (1) description of copyrighted work, (2) location of infringing material, (3) your contact info, (4) statement of good faith, (5) statement of accuracy, (6) signature.
10. Third-Party Services
We integrate with third-party services (Google Calendar, Stripe, PayPal). Your use of these services is subject to their own terms and privacy policies. We're not responsible for third-party services.
11. Service Availability and Modifications
11.1 Service Availability
We strive for 99.9% uptime but don't guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.
11.2 Modifications
We may modify, suspend, or discontinue features at any time with reasonable notice. Material changes that reduce functionality will be communicated in advance.
12. Disclaimers and Limitation of Liability
12.1 "As Is" Service
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
12.2 No Endorsement
We don't endorse, verify, or guarantee the quality of Service Providers or their services. Interactions between Providers and Clients are solely between those parties.
12.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITASPACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify and hold harmless Citaspace from any claims, damages, losses, or expenses (including legal fees) arising from: (1) your use of the Service, (2) your violation of these Terms, (3) your violation of others' rights, (4) content you submit.
14. Dispute Resolution
14.1 Informal Resolution
Contact us at [email protected] to resolve disputes informally before pursuing legal action. We'll work in good faith to resolve issues.
14.2 Arbitration
Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You waive the right to a jury trial and class actions.
14.3 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
15. Privacy
Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect and use your information.
16. Changes to Terms
We may update these Terms periodically. Material changes will be notified via email or a prominent notice on the Platform at least 30 days before taking effect. Continued use after changes constitutes acceptance.
17. Termination
Either party may terminate this agreement at any time. You can close your account in settings. We may terminate or suspend accounts immediately for violations of these Terms or illegal activity. Upon termination, your right to use the Service ceases immediately.
18. General Provisions
18.1 Entire Agreement
These Terms, along with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Citaspace.
18.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
18.3 No Waiver
Our failure to enforce any right doesn't waive that right.
18.4 Assignment
You may not assign these Terms without our consent. We may assign them to any successor entity.
